The need for all organisations to have an appropriate implementation of corporate governance has been recognised for many years. It has been driven both by legal/regulatory frameworks and the developing expectations of stakeholders.

This briefing will offer a realistic look at how the practice of sound corporate governance can be implemented and embedded throughout an organisation. Using both the latest Best Practice guidance and scenarios drawn from practical experience, the briefing will:

  • ask “what is corporate governance?” and examine its evolution, including such pivotal influences as the Cadbury, Hampel and Turnbull Reports and Higgs-Smith Reviews;
  • provide an understanding of the business and organisational benefits of sound corporate governance;
  • consider the need for a clear statement of the essential principles in accordance with which an organisation may choose to conduct its activities (e.g. prudence, openness/transparency, probity, accountability, integrity, etc.);
  • examine some of the most important components of a typical corporate governance framework, such as:
    • stakeholder consultation
    • responsibilities at executive and non-executive levels
      management of corporate and individual performance
    • schemes of authority and accountability
    • systems of delegation and empowerment
    • frameworks of policies, rules and standards
    • management of risk
    • principles governing individual conduct and behaviour
    • internal and external reporting, including statements of internal control
  • suggest practical and pragmatic methods for implementing these components at all relevant levels of an organisation;
  • review means by which the embedment of required practice can be benchmarked so as to enable progress to be measured.
